These Terms describe the services that Resilis, Inc. provides through resilis.io. By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services. Agreement and service scope
These Terms apply to the Resilis website and related services that link to them. The cloud service can include local-workspace and GitHub deployments, connected AI agents through MCP, projects, environments, configuration, logs, metrics, previews, domains, managed databases, object storage, connected compute, and supported recovery operations.
Features, resource types, limits, and availability depend on the current service configuration and any applicable order. Current managed-data workflows include PostgreSQL, MySQL, and object storage.
Accounts and authorization
You must provide accurate account information and keep it current. You must be at least 18 years old and have authority to act for the organization that uses the Services.
You are responsible for account credentials, connected services and agents, authorized users, and actions taken through your account. Do not share credentials or give an agent more access than the operation requires.
Customer content and managed data
You keep your rights in source code, application data, configurations, and other content that you provide. You give Resilis the limited permission needed to host, store, process, transmit, secure, support, and maintain that content for the Services.
You are responsible for the content, the instructions that you provide, and the rights needed to use it. Resilis may create operational logs, metrics, deployment records, and status information while it provides the Services.
Acceptable use
Use the Services only for a lawful, authorized purpose. Do not use them to harm people, violate rights, distribute malware, attack systems, bypass security controls, impersonate others, send spam, scrape the Services without permission, or create an undue burden on the Services or connected networks.
Do not use the Services to build a competing service, copy the Services, or run automated access that the current service configuration does not support. You must follow the current Acceptable Use Policy. Public search engines and AI agents may fetch and index the public marketing site and documentation in accordance with robots.txt and reasonable request rates. This permission does not extend to private accounts, authenticated APIs, or bypassing access controls.
Security responsibilities
Resilis manages the service boundary and the supported cloud operations. You must protect your source repository, credentials, account, connected services, configuration, and authorized users.
Report a security concern to [email protected]. Do not include passwords, private keys, tokens, or production credentials in a report.
Backups, restore, and support
Backups, snapshots, and restore workflows are available only for supported resources and configured protection paths. Restore results depend on the resource and its configuration. Keep independent copies of data that you cannot replace.
Support is available through the contact route and any plan or order that applies to your account. These Terms do not create an uptime, response-time, or support-level commitment unless an applicable order states one.
Fees and payment
Fees, usage limits, overages, taxes, credits, support, and billing cycles follow the current plan or order. Payments are in U.S. dollars, subscriptions renew automatically until canceled, and purchases are non-refundable unless applicable law or an order says otherwise.
Stripe processes payment data as described in the Privacy Notice. You authorize charges for the amounts that apply to your account and must keep billing information current.
Suspension and termination
Resilis may restrict or suspend access when needed to address a legal requirement, security risk, abuse, non-payment, a breach of these Terms, or a risk to the Services. Resilis may terminate an account as permitted by the applicable Terms or order.
You may cancel a subscription under the applicable plan or order. Ending access does not remove fees or obligations that arose before termination.
Data return and deletion
After termination, request a supported export through [email protected]. The export format, timing, resources covered, and access window depend on the service and the applicable plan or order.
Resilis may delete customer content after the applicable access period. Data in backups may remain until the normal backup process removes it or the applicable service terms require another result. These Terms do not promise a single retention period for every resource.
Intellectual property and confidentiality
Resilis owns or licenses the Services, software, documentation, designs, and marks. You may use them only as the Services and these Terms permit. You keep ownership of your customer content. Feedback may be used without payment.
Each party must protect the other party’s confidential information and use it only to provide or receive the Services. This duty does not apply to information that is public, already known without a duty, independently developed, or required to be disclosed by law.
Warranties and liability
To the extent permitted by applicable law, the Services are provided on an as-is and as-available basis. Resilis does not promise that the Services will be uninterrupted, error-free, secure against every threat, or fit for a particular purpose. You remain responsible for reviewing deployments and protecting data.
To the extent allowed by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages. To the extent permitted by applicable law, Resilis liability is limited to the amount paid to Resilis during the six months before the event that caused the claim. Applicable law may provide additional rights.
Indemnity, law, and disputes
You must defend and indemnify Resilis against third-party claims arising from your use of the Services, breach of these Terms, violation of law, or infringement of another party’s rights, subject to applicable law and the final agreement between the parties.
Delaware law governs these Terms. At least 30 days of informal negotiation is required before covered disputes proceed to binding AAA arbitration. Disputes are limited to the individual parties, and Delaware courts handle matters that may proceed in court. These provisions apply only to the extent permitted by law and do not limit non-waivable consumer rights or access to courts where applicable law requires it.
Changes and contact
Resilis may update these Terms and will provide notice of material or scheduled changes as required by applicable law. Continued use after an effective change means that you accept the updated Terms.
